Note: Specific deliverables, timelines, and fees for engaged services will be outlined in a separate Engagement Letter or Service Agreement signed by both parties.

3. Client Responsibilities

To ensure the accuracy and timeliness of our Services, you agree to:

• Provide complete, accurate, and timely financial information and documentation.
• Promptly respond to inquiries regarding your accounts or tax filings.
• Maintain internal controls to prevent and detect fraud within your own organization.
• Inform us immediately of any changes to your business structure, ownership, or operational status.

We rely on the information you provide and are not responsible for errors resulting from incomplete or inaccurate data provided by you.

4. Payment and Fees

Fees for our services are billed as agreed upon in your Engagement Letter (e.g., hourly rates, fixed monthly retainers, or per-project fees). Invoices are due upon receipt unless otherwise specified. We reserve the right to suspend services for accounts that are past due.

5. Disclaimers and Limitation of Liability

A. No Audit

Unless specifically engaged to perform an audit, our services do not constitute an audit, review, or compilation of your financial statements. We do not express an opinion or provide any assurance regarding the underlying financial data.

B. Limitation of Liability

To the fullest extent permitted by California law, DTLA Professional Services, LLC shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our Site or Services. Our total liability for any claim arising out of our Services shall not exceed the total fees paid by you to us during the six (6) months preceding the claim.
